These Terms and Conditions (“Agreement”) govern the access and use of the TravKeys Travel Agent Portal (hereafter “Portal”) provided by TravKeys (“Company”, “we”, “our”, or “us”) by registered travel agents (“Agent”, “you”, or “your”).
By signing up and using the Portal, you agree to be bound by these Terms and Conditions.

1. Eligibility and Registration
1.1. Only authorized and verified travel agents or entities engaged in the travel industry are eligible to register.
1.2. Agents must provide valid business details, including trade license or equivalent proof, GST number (if applicable), and bank details.
1.3. TravKeys reserves the right to approve or reject any registration request at its sole discretion.

2. Login Credentials
2.1. Upon successful registration, a login ID and password will be provided.
2.2. You are responsible for maintaining the confidentiality of your credentials.
2.3. Any activity occurring under your login will be deemed to have been performed by you.

3. Bookings and Payments
3.1. All bookings made through the Portal are binding.
3.2. Bookings must be confirmed through the portal with advance payments as per the system-generated invoice.
3.3. Payment deadlines, cancellation policies, and refund terms vary by product/service and are outlined at the time of booking.
3.4. Delayed or partial payments may result in cancellation of services without refund.

4. Commission and Pricing
4.1. Net rates are displayed on the portal unless stated otherwise.
4.2. Agents may add their margin before quoting to end customers.
4.3. Any dispute related to pricing, commissions, or payment will be resolved as per records maintained by TravKeys.

5. Cancellation and Refunds
5.1. Cancellation requests must be submitted through the portal.
5.2. Refunds, if applicable, will be processed within 7–21 business days based on the supplier’s refund policy.
5.3. TravKeys is not responsible for losses due to third-party delays or force majeure events.

6. Responsibility and Conduct
6.1. Agents must act ethically and not misrepresent TravKeys to clients or third parties.
6.2. Any misuse of the Portal, such as speculative bookings, system abuse, or fraudulent activities, will lead to account suspension.
6.3. TravKeys reserves the right to audit bookings and agent records periodically.

7. Intellectual Property
7.1. All content on the portal including logos, software, documents, and tools are property of TravKeys and protected under applicable laws.
7.2. You may not reproduce, distribute, or misuse any portal content without prior written permission.

8. Termination
8.1. TravKeys may suspend or terminate an agent’s access without prior notice for violation of terms.
8.2. Upon termination, any pending obligations must be cleared by both parties.

9. Limitation of Liability
9.1. TravKeys acts as an intermediary and shall not be held liable for service delivery by third-party vendors, hotels, or transportation providers.
9.2. In no event shall TravKeys be liable for any indirect, incidental, or consequential damages.

10. Amendments
10.1. TravKeys may update these Terms & Conditions from time to time.
10.2. Continued use of the Portal after such updates constitutes acceptance of the revised terms.

11. Governing Law
11.1. These Terms shall be governed by the laws of India.
